Terms of Service

These Terms of Service ("Terms") govern access to and use of Team I, a marketing operations platform available at teami.live (the "Service") that helps teams coordinate advertising campaigns, creative assets, and reporting workflows for the brands they represent. By accessing or using the Service you agree to these Terms. If you do not agree, you may not use the Service.

1. Eligibility and Accounts

The Service is intended for business and professional use by teams aged 18 or older. Accounts are created and managed by an administrator within your organization. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify your administrator promptly if you suspect any unauthorized access.

You agree not to use the Service to:

You are responsible for ensuring that the content you process through the Service complies with the policies of any third-party services you choose to connect, including advertising platforms, messaging platforms, and content distribution networks.

3. Your Content

You retain ownership of the content you upload to or process through the Service ("Your Content"). You grant us a limited, non-exclusive, royalty-free license to host, store, process, and transmit Your Content solely to provide the Service to you and your team. You represent that you have all rights necessary to upload Your Content and that Your Content does not violate any law or third-party right.

4. Third-Party Services

The Service may integrate with optional third-party services that you or your administrator choose to connect, such as messaging platforms, advertising platforms, file storage services, and spreadsheet services. We do not control those services, and your use of them is governed by their own terms and policies. We are not responsible for the availability, accuracy, or content of third-party services, and any disputes arising from those services should be addressed directly with the provider.

When you connect a Meta (Facebook / Instagram) ad account, you authorize the Service to access and act on your Meta data through Meta's official APIs solely to provide the features you request, and you agree to comply with the Meta Platform Terms, Advertising Standards, and Developer Policies. You are solely responsible for the campaigns you create and the claims, targeting, budgets, and creative you use; for holding any licenses or approvals your advertising requires; and for the resulting ad spend. The Service is an independent tool and is not endorsed by, affiliated with, or operated by Meta Platforms, Inc.

5. Intellectual Property

The Service, including its software, design, and documentation, is owned by Team I and protected by intellectual property laws. Except for the limited license to use the Service granted to you under these Terms, no rights are transferred. Any feedback or suggestions you provide may be used by us without obligation to you.

6. Beta and Experimental Features

From time to time we may make beta, preview, or experimental features available. These features are provided as-is, may be modified or withdrawn at any time, and may not function reliably. You agree not to rely on beta features for production use without independent verification.

7. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT WILL BE ACCURATE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TEAM I OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS.

9. Indemnification

You agree to defend, indemnify, and hold harmless Team I, its affiliates, and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) Your Content, (c) your breach of these Terms, or (d) your violation of any law or third-party right.

10. Suspension and Termination

We may suspend or terminate access to the Service at any time if we reasonably believe you have violated these Terms, you pose a security or legal risk, or your continued use would harm other users or the Service. Your administrator may also remove your account at any time. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including Sections 3, 5, 7, 8, 9, and 11) will survive.

11. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction where Team I is established, without regard to its conflict of laws principles. Any dispute arising out of or related to the Service or these Terms will be resolved exclusively in the competent courts of that jurisdiction, except where applicable consumer protection law requires otherwise.

12. Changes to These Terms

We may update these Terms from time to time. Updates will be posted at this URL with a revised effective date. Material changes will be communicated through the Service or by email to administrators where reasonable. Continued use of the Service after an update means you accept the revised Terms.

13. Entire Agreement

These Terms, together with our Privacy Policy, are the entire agreement between you and Team I regarding the Service and supersede any prior agreements on the same subject. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
